These Terms of Service ('Terms') establish the clear professional framework and mutual expectations for engaging with K.ZHR's high-level engineering and consulting services. By accessing this website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our website or services.

II. Service Engagement and Scope of Work
A. Services Offered: K.ZHR provides specialized services in Full-Stack Web Development, Cloud-Native Systems Architecture, UI/UX Strategy, and Technical Consulting.

B. Project Scope: The specific details, timelines, milestones, and deliverables for any project will be defined exclusively within a separate, mutually signed Statement of Work (SOW) or Service Agreement. In the event of a conflict, the SOW shall supersede these Terms.

III. Payment, Fees, and Invoicing
A. Fees: Fees for services will be detailed in the respective SOW or project proposal.

B. Payment Schedule: Payment shall be made according to the milestones or timelines specified in the SOW.

C. Non-Payment: Failure to adhere to the agreed-upon payment schedule may result in the suspension of services or the withholding of final deliverables.

IV. Intellectual Property (IP) and Ownership
A. Client IP: The Client retains full ownership of all provided content, materials, and pre-existing intellectual property.

B. Deliverables IP: Upon successful final payment and project completion, ownership of the custom-developed source code and final deliverables shall be transferred to the Client.

C. K.ZHR Tools: K.ZHR retains ownership of any pre-existing proprietary tools, frameworks, and generic libraries utilized during the project, granting the Client a non-exclusive, perpetual license to use them solely within the scope of the project deliverables.

V. Limitation of Liability
"K.ZHR and its representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the services or the products developed. In all cases, K.ZHR’s liability is strictly limited to the total amount paid by the Client for the services that directly gave rise to the liability."

VI. Termination and Governing Law
A. Termination: Either party may terminate the engagement if the other party breaches a material obligation under these Terms or the SOW.

B. Governing Law: These Terms shall be governed by and construed in accordance with the laws.

C. Dispute Resolution: Any dispute arising under these Terms shall first be attempted to be resolved through good faith negotiation.
